Terms and EULA
Terms of sale and the end user licence agreement for BABICZ PRE and BABICZ BUS, in English and German. Provided by SINEE as the seller.
Terms of sale
1. Scope
These terms of SINEE GmbH, Am Hans Teich 4, 51674 Wiehl, Germany ("SINEE", "we", "us" or "seller") apply to purchases of BABICZ PRE and BABICZ BUS through the online shop at babicztools.com. They apply to consumers and businesses. A "consumer" is a natural person entering into a contract for purposes predominantly outside their trade, business or profession. A "business" is a natural or legal person or partnership acting in the exercise of its trade, business or profession. Any terms submitted by the customer apply only if we expressly agree to them.
2. Software and licence
The contract covers the digital delivery of the software product selected by the customer and a corresponding serial number. The product description shown at the time of the order specifies the essential features, supported operating systems, plug-in formats, compatibility requirements and any technical restrictions. The customer receives a right to use the software under the BABICZ TOOLS End User License Agreement ("EULA"), not ownership of the software or its intellectual property. BABICZ PRE and BABICZ BUS are sold as one product under one licence and serial number. The licence takes effect when payment has been completed and the contract concluded.
3. Ordering and conclusion of the contract
Product descriptions on the website are invitations to place an order and are not binding offers by us. The customer selects a product, enters the required contact and billing information, reviews the order and selects a payment method. Before placing the order, the customer can identify and correct their entries using the checkout controls. The final order button indicates that placing the order entails an obligation to pay.
By activating that final button, the customer submits a binding offer. The customer is then directed to PayPal to complete payment. We accept your offer when successful payment has been confirmed and we send you our order confirmation email. The contract is concluded upon that acceptance. If payment is not completed, we do not accept the offer under this checkout process.
The language available for concluding a contract through this shop is English. The applicable terms can be viewed and saved before checkout. We store the order data and send a confirmation of the contract by email. Order details are also available in the customer account. The customer must provide a valid email address and ensure that emails can be received.
4. Prices and payment
The price displayed at checkout is the total price, including statutory VAT where applicable. No shipping charges apply because delivery is digital. Payment is processed through PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg; available card payments may also be processed through PayPal. The payment methods shown in the checkout are the methods available for that order. PayPal's applicable terms govern its payment services.
5. Digital delivery
After successful payment and conclusion of the contract, we provide the contract confirmation and serial number by email. The software can be downloaded from the Downloads page. Activation requires a temporary internet connection; later licence checks are performed locally as described in the EULA. The delivery and use of the software are subject to the technical requirements on the product page.
6. Right of withdrawal
Consumers generally have a statutory right of withdrawal. Under certain conditions, this right may expire early for digital content supplied immediately. Details, including the statutory conditions and the online withdrawal function, are set out in our Right of withdrawal notice. Statutory rights of businesses, where applicable, remain unaffected.
7. Statutory rights concerning digital products
The statutory provisions concerning conformity of digital products, remedies for defects and the provision of necessary updates apply. The EULA does not restrict mandatory consumer rights. Any additional voluntary support or update commitments are described in the product description or EULA.
8. Applicable law
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not remove the protection provided by mandatory provisions of the law of their country of habitual residence.
9. Jurisdiction
For customers who are merchants, legal entities under public law or special funds under public law and whose registered office is in Germany, our registered place of business is the exclusive place of jurisdiction to the extent permitted by law. If a business customer is established outside Germany, our place of business is the agreed place of jurisdiction to the extent legally permissible; we may also bring proceedings before the competent court at the customer's registered office. Statutory consumer jurisdiction rules remain unaffected.
10. Consumer dispute resolution
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
BABICZ TOOLS End User License Agreement (EULA)
SINEE GmbH, Am Hans Teich 4, 51674 Wiehl, Germany ("SINEE")
Version: 3 November 2026
The German version of this agreement takes precedence in the event of differences between language versions, to the extent permitted by mandatory applicable law.
1. Scope
This agreement governs the use of the software products of the BABICZ TOOLS series, currently "BABICZ PRE" and "BABICZ BUS" (audio plug-ins in VST3 and Audio Unit formats, including bundled presets, models and documentation, each the "Software"). The Software was developed by Robert Babicz; your contracting party and licensor is SINEE, which publishes and distributes the Software. If you purchase through the SINEE shop or a shop operated by SINEE under the BABICZ TOOLS brand, its general terms and conditions apply in addition. In case of conflict between this agreement and the shop terms, this agreement prevails with regard to the nature and scope of the license granted; in all other respects the shop terms prevail. Your statutory rights, in particular consumer and warranty rights under EU and German law, always remain unaffected by this agreement.
2. License
SINEE grants you a non-exclusive, perpetual license to install and use the Software. The license is personal: it covers one natural person (within a company: one named user) and may be activated on up to three computers at the same time, provided you use them yourself. The three activations form one single-user license and must not be used by several persons at the same time. Backup copies are permitted. BABICZ PRE and BABICZ BUS are licensed as one product (BABICZ PRE/BUS) and activated with one shared serial number.
3. Activation
The Software is activated with a serial number. Activation and trial registration temporarily require an internet connection; afterwards the Software validates the license locally. When moving to a new computer, existing activations can be reset via SINEE support (info@sinee.de); SINEE will not refuse a justified reset without an objective reason. SINEE will take reasonable measures to ensure that properly activated perpetual licenses can continue to be used even if the activation service employed is changed or discontinued. Keep your serial number confidential and do not share it with third parties. For information on data processing during activation, see the privacy policy: https://babicztools.com/privacy
4. Restrictions
You may not rent, lend, sublicense, publicly distribute the Software or make it available to third parties outside this agreement. Modification, decompilation and other reverse engineering are prohibited except to the extent permitted by mandatory law (in particular sections 69d, 69e of the German Copyright Act or equivalent provisions). This applies in particular to the bundled models and characteristic data of the Software.
5. Content created with the Software
Neither SINEE nor the developer claims any rights in audio recordings, musical works or other productions you create using the Software. Such productions may be used, published and exploited privately and commercially. Rights of third parties in the source material you use remain unaffected.
You may not distribute or exploit bundled factory presets, models, program data or other bundled resources in their original or only trivially changed form where they are thereby offered as a substitute for the bundled content or as a competing preset, model or content library.
You may create and share your own presets, provided they are not a copy or merely trivial modification of a factory preset.
6. License transfer
You may transfer a license acquired for payment completely and permanently to a third party. Splitting the license or separately transferring individual activation slots is not permitted. The previous licensee must uninstall all installed copies and may not retain or continue to use any backup copy.
The technical re-registration is free of charge and handled by SINEE support; SINEE will carry it out without undue delay upon proof of entitlement and fulfilment of the above requirements. The new owner must accept this agreement. Statutory resale rights remain unaffected. Trial, beta and NFR licenses (section 10) are not transferable.
7. Updates
Where we release voluntary bug fixes, improvements and functional updates for the purchased major version, we provide them free of additional charge. New major versions may be offered as separate, paid products. These provisions do not limit our statutory obligations to provide and inform you about updates needed to maintain conformity of the Software, including security updates, for the legally required period (in particular section 327f of the German Civil Code).
8. Statutory warranty rights
Statutory warranty rights apply.
9. Liability
SINEE is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and within the scope of any guarantee given. In cases of slight negligence, SINEE is liable only for the breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of this agreement possible in the first place and on whose fulfilment you may regularly rely), limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. Other mandatory statutory liability provisions, in particular liability under applicable data protection law, remain unaffected.
10. Trial, beta and NFR licenses
The trial may be used in full for a period of 14 days from its activation. After this period, the Software switches to bypass mode (the audio signal passes through unprocessed). SINEE may block trial licenses early in cases of abuse, circumvention of technical protection measures or for compelling security reasons.
Beta versions are provided for testing purposes only. They may be incomplete, may contain bugs and, unless expressly agreed otherwise, may be changed or discontinued at any time.
NFR ("Not For Resale") licenses are provided free of charge under the conditions communicated when they are granted. They may not be sold or transferred.
Trial, beta and NFR licenses carry an entitlement to individual support only where expressly promised. Statutory rights and mandatory liability provisions remain unaffected.
11. Termination
SINEE may terminate the license for good cause. Good cause exists in particular where the licensee intentionally and without authorisation copies or distributes the Software or the serial number or makes it available to several users, and fails to end the breach within a reasonable period despite being requested to do so. No prior request is required where the breach cannot be remedied or where, weighing the interests of both parties, SINEE cannot reasonably be expected to continue the agreement. Statutory termination rights remain unaffected. Upon termination, you must stop using the Software.
12. Third parties, trademarks, governing law
The Software contains third-party components; the corresponding notices and license texts are included with the Software (file "THIRD-PARTY-LICENSES.txt"). BABICZ TOOLS, BABICZ PRE and BABICZ BUS are brands of Robert Babicz, used by SINEE under license. VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Unit is a technology of Apple Inc. German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods; mandatory consumer protection provisions of the country in which you habitually reside remain unaffected.
BABICZ TOOLS Endnutzer-Lizenzvereinbarung (EULA)
SINEE GmbH, Am Hans Teich 4, 51674 Wiehl, Deutschland (nachfolgend „SINEE“)
Stand: 3. November 2026
